Terms of Service
1. Services
Innova Business Solution provides digital services for businesses, including AI voice agents (Innova Vox), website design and management, NFC products, point-of-sale panels and digital advertising management (together, the "Services"). Specific deliverables, timelines and fees are defined in each client's proposal or service agreement, which forms part of these Terms.
2. Subscriptions and billing
Subscription Services are billed monthly in advance. Fees are due on the renewal date of each billing cycle. If a payment fails, we will notify you and may pause the Service after a 7-day grace period. You may cancel a subscription at any time with 30 days' written notice; fees already paid for the current cycle are not refundable unless we fail to provide the Service.
3. One-time projects
Setup fees, website builds and product kits are quoted per project. A deposit may be required before work begins. Project fees are earned as milestones are completed, as described in your proposal.
4. Your responsibilities
You are responsible for the accuracy of the business information you provide (services, prices, schedules) and for having the right to use any materials you supply. You remain responsible for your business's compliance with laws that apply to your industry, including call-recording consent rules in your state.
5. AI agents — important notice
Our AI agents are tools that assist your business; they are not a substitute for your judgment. While we configure agents carefully with your information, automated conversations may occasionally contain errors. You agree to review your dashboard reports and notify us of corrections. Calls handled by an agent may be recorded and transcribed to provide the Service.
6. Acceptable use
You may not use the Services for unlawful purposes, to send spam, or to misrepresent your business to consumers. We may suspend Services that violate this section.
7. Intellectual property
Your brand, content and business data remain yours. Our platform, software and templates remain the property of Innova Business Solution. Websites we build for you are licensed for your business use upon full payment.
8. Limitation of liability
To the maximum extent permitted by law, our total liability for any claim related to the Services is limited to the amounts you paid us in the three months before the claim. We are not liable for indirect or consequential damages, including lost profits.
9. Governing law
These Terms are governed by the laws of the State of Texas. Any dispute will be resolved in the courts of Dallas County, Texas.
